Job Description

Position Summary:

The Director-Level Attorney for Mergers and Acquisitions (M&A) is responsible for providing legal expertise and guidance on all aspects of the company's M&A activities. This includes advising on deal structures, conducting due diligence, drafting and negotiating transaction documents, and ensuring compliance with relevant laws and regulations, with the assistance of outside counsel. The Director-Level Attorney will work closely with the corporate development team, legal leadership, and outside counsel to support the company's growth strategy through strategic acquisitions.

Key Responsibilities:
  • Provide legal advice and support on all M&A transactions, including deal structuring and risk assessment.
  • Advise legal leadership on legal implications of potential acquisitions and divestitures.
  • Oversee the legal due diligence process for potential acquisitions.
  • Working with outside counsel, identify and assess legal risks and liabilities associated with target companies.
  • Review and analyze contracts, corporate documents, and other relevant materials.
  • Coordinate with outside counsel and other specialists, such as securities counsel, tax attorneys, antitrust lawyers, employment law specialists, accountants, investment bankers, and insurance brokers.
  • With the support of outside counsel, draft, review, and negotiate transaction documents, including letters of intent, purchase agreements, merger agreements, and ancillary documents.
  • Ensure that transaction documents accurately reflect the agreed-upon terms and protect the company's interests.
  • Assist with legal support for the integration of acquired companies, including contract novations, and compliance matters.
  • Assist in resolving any legal issues that arise during the integration process.

Qualifications:
  • Education:
    • Juris Doctor (JD) degree from an accredited law school.
    • Admission to the bar in the relevant jurisdiction (in good standing).
  • Experience:
    • Minimum of five years of experience as a practicing attorney, with a strong focus on M&A, corporate law, or related fields, preferably in a law firm environment.
    • Proven track record of successfully managing and executing M&A transactions.
    • Hands-on experience in conducting legal due diligence, drafting and negotiating transaction documents, and managing legal compliance.
  • Skills:
    • Strong analytical and problem-solving skills.
    • Excellent negotiation and communication skills.
    • Ability to manage multiple projects and priorities simultaneously.
    • Strong leadership and team management skills.
    • Proficiency in legal research and analysis.
    • High attention to detail
    • Proven ability to work in a fast-paced, dynamic environment with competing priorities.
  • Other Requirements:
    • Willingness to travel as needed.
    • High level of integrity and professionalism.

The salary range for this role is:
$121,600.00 - $194,200.00
